Senior Manager, Legal (Projects)
Head of Finance (Legal) and VP Legal (Projects)
Projects Legal (with specific focus on project finance related work)
To provide legal advice and support with respect to the finance related portion of a large complex project. To draft, review and negotiate project finance agreements, and identify and raise legal risks across the project, in order to ensure compliance with all relevant laws and regulations and timely resolution of issues.
Number of Staff Supervised:
To Work Within The Legal Finance Team With His/her Main Responsibilities Including, But Not Limited To, Assisting The Relevant Business Units With
bid-submissions and specifically all key legal finance documents relating to senior and equity financing (namely, bank acknowledgement letters, side letters, fee letters, commitment and mandate letters and financing term sheets);
financial closings and specifically all key legal finance documents relating to senior and equity financing and hedging; and
closing out all relevant conditions precedent in order to achieve financial close.
The candidate will be working opposite financing institutions and lenders counsel (typically any one of a select group of the top project finance law firms in the world).
Provide on the job coaching and mentoring to other junior members of the team on project legal matters for the assigned project, in order to enable development of talent across the team.
Legal Risk Management
Identify legal risks and issues with respect to assigned simple project/ deal, and ways on how to mitigate them, and provide suggestions to the line manager, in order to proactively manage risks and timely mitigate them.
Develop, update and maintain templates of project finance agreements for an assigned simple project or support on a portion of a complex project/ deal, in order to ensure the templates are ready and can be used when required.
Prepare RFPs for appointing of external legal counsel (including preparing comparison charts), in order to ensure all requirements and specifications are captured.
Agreements and Contracts
Develop and review all project finance agreements and contracts relevant to the assigned project or portion of a project from a legal perspective, and make necessary amendments, in order to ensure they meet the needs of the project.
Handle basic and less complex negotiations and assist in aggressive negotiations with key stakeholders as required, for the assigned project, in order to ensure the interests of the project is safeguarded.
Monitoring of Legal Partners
Monitors the performance of external legal partners, and provide inputs in order to ensure they perform as per the desired level and required standards.
Coordinate with external parties including external law firms, shareholders, banks, off takers, etc. as required, in order to ensure all the necessary al legal information and documentation is available for the assigned project.
Provide support in interacting with the senior management, as required with respect to legal matters/issues, legal opinions on the assigned project, in order to ensure they are aware of the legal implications.
Policies, Processes, Systems & Procedures
Implement approved departmental policies, processes, and procedures, and ensure employee adherence so that work is carried out to the required standard.
Manage and motivate the team to ensure they contribute to, and participate in, the identification and implementation of change initiatives, programmes, and projects in line with the organisations standards.
Perform other related duties or assignments as directed.
COMMUNICATION & WORKING RELATIONSHIPS:
Working closely with the Head of Finance (Legal), BD team, asset legal team, and other departments as required.
Liaise with external legal entities, regulatory bodies, consultants, etc. as required
QUALIFICATIONS, EXPERIENCE, & SKILLS:
Bachelor degree in Law
should be qualified from a common-law jurisdiction, or otherwise have extensive experience dealing with English-law documentation
2 7 years experience as a finance lawyer
A familiarity with project finance documentation is preferable, although general corporate finance experience will also be considered
Good knowledge in projects legal, regulatory and policies matters
Ability to identify prospective legal risks
Ability to provide trusted legal advice
Ability to effectively liaise with third parties, and negotiate with counterparts
Ability to draft project finance agreements and contracts for a project
Good organisational skills, analytical skills, and ability to work under pressure
High degree of rigor and attention to detail
